Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Remindu.life platform, including its website, mobile application and any related services (collectively, the "Platform"). The Platform is operated by Remindu ("Remindu", "we", "us" or "our"). By accessing or using the Platform, you ("you" or "User") agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using this Platform, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use the Platform.
2. Acknowledgement and Express Acceptance
You hereby expressly acknowledge, understand, and fully accept that:
- Your use of the Platform is entirely voluntary and at your sole risk;
- You have read and understood all provisions set out in these Terms and Conditions, including the sections relating to Remindu having no obligations to you and your inability to bring legal proceedings against Remindu;
- You agree that these terms form a legally binding agreement between you and Remindu, and that your use of the Platform confirms your unconditional acceptance of every term contained herein;
- No oral or written statement, advice, or information provided by Remindu or any of its representatives shall add to, vary, or override any provision of these Terms and Conditions.
3. No Obligation of the Platform
Remindu, its owners, operators, employees, agents, or affiliates (collectively referred to as the "Remindu Parties") do not assume any obligation, duty, or liability of any kind, whether express or implied, in relation to the Platform, its content, or any services, materials, or information made available through it.
The Remindu Parties make no representations, warranties, or guarantees regarding the accuracy, completeness, availability, suitability, or reliability of the Platform or any content provided. Use of the Platform is entirely at your own risk.
The Remindu Parties are not obligated to maintain, update, or continue providing the Platform or any part of it, and may suspend, terminate, or modify access at any time without notice or liability.
No relationship — including but not limited to contractual, agency, partnership, or employment — is created between you and the Remindu Parties through your use of the Platform.
4. Exclusion of Legal Proceedings
You expressly agree that you shall not initiate, pursue, or maintain any legal action, claim, complaint, arbitration, or other proceeding — whether civil, criminal, administrative, or otherwise — against any of the Remindu Parties in any court, tribunal, or authority of any jurisdiction.
You irrevocably waive all rights to bring any such proceedings, and to seek any form of remedy, compensation, damages, or relief (including but not limited to injunctive relief, specific performance, or financial compensation) against the Remindu Parties, arising out of or in connection with your use of the Platform or any matter related to it.
This waiver applies to all claims, whether based on contract, tort, statute, regulation, or any other legal or equitable ground, and extends to all past, present, and future matters.
5. Limitation of Liability
To the fullest extent permitted by applicable law, the Remindu Parties shall not be liable for any loss or damage of any kind — including direct, indirect, incidental, consequential, or punitive damages — arising from or related to your access to or use of the Platform. Where legislation implies terms or conditions that cannot be excluded, the liability of the Remindu Parties is limited to the maximum extent permitted by law.
6. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Nothing in these terms shall be interpreted as requiring the Remindu Parties to submit to the jurisdiction of any court or authority.
7. Severability
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
8. Acceptable Use
You must not use the Platform to:
- violate any law or regulation;
- infringe intellectual-property rights;
- commit fraud, deception or impersonation;
- distribute malware, ransomware, spyware or malicious code;
- interfere with the security or operation of the Platform;
- reverse engineer, decompile or disassemble the Services except where such restriction is prohibited by applicable law;
- attempt to gain unauthorised access to systems, accounts or data;
- circumvent security, rate limits, subscription restrictions or technical controls;
- scrape or systematically extract Platform data without written authorisation;
- use the Services to develop a substantially competing product where prohibited by applicable law or separate commercial agreement;
- upload unlawful, fraudulent, defamatory or infringing material;
- upload personal data without having an appropriate lawful basis and authority;
- use the Services to make decisions concerning individuals where such use would breach applicable law;
- use AI Output as the sole basis for high-risk decisions;
- use the Platform for emergency, life-critical or safety-critical operations unless expressly authorised in writing; or
- otherwise misuse the Platform.
9. User Content
9.1 You retain ownership of your User Content, subject to the rights necessary for Remindu to provide the Services.
9.2 You grant Remindu a non-exclusive, worldwide, limited licence to host, store, reproduce, process, transmit and technically modify User Content only as reasonably necessary to provide, maintain, secure and improve the Services, subject to applicable data-protection law and any separate agreement concerning data use.
9.3 You represent and warrant that: you own or control the necessary rights in your User Content; you have all necessary permissions and consents; your User Content does not unlawfully infringe third-party rights; and submission of your User Content does not violate applicable law.
9.4 You remain responsible for your User Content.
9.5 Remindu is not responsible for the legality, accuracy, completeness or ownership of User Content supplied by users.
10. AI Training and Data Usage
10.1 Unless expressly disclosed and permitted by the applicable privacy notice, subscription plan or separate agreement, Remindu will not represent that User Content is used to train general-purpose AI models.
10.2 Where Remindu uses data for model improvement, analytics, security, quality assurance or research, such processing shall be conducted in accordance with applicable law and Remindu's applicable privacy documentation.
10.3 Business customers may request additional contractual restrictions concerning data processing, model training and retention.
10.4 Nothing in these Terms overrides mandatory data-protection obligations.
11. Privacy and Data Protection
11.1 Personal data will be handled in accordance with Remindu's Privacy Policy and applicable data-protection legislation.
11.2 Depending upon the particular Service and processing activity, Remindu may act as a data controller, joint controller or processor.
11.3 Where Remindu acts as a processor on behalf of a customer, the parties may be required to enter into a separate Data Processing Agreement ("DPA").
11.4 Where applicable, the DPA will govern the processing of personal data on behalf of the customer.
11.5 Users must not submit personal data to the Platform unless they have a lawful basis and appropriate authority to do so.
11.6 Customers remain responsible for determining whether their intended processing is lawful and appropriate.
12. Third-Party AI Models and Services
12.1 The Platform may depend upon Third-Party Services.
12.2 Such services may include: AI model providers; cloud infrastructure providers; hosting companies; payment processors; telecommunications providers; speech and translation providers; analytics providers; authentication providers; browser platforms; and other technology suppliers.
12.3 Third-Party Services may experience outages, changes, limitations, errors or discontinuation.
12.4 To the maximum extent permitted by law, Remindu is not responsible for failures caused solely by Third-Party Services outside Remindu's reasonable control.
12.5 Your use of certain Third-Party Services may also be subject to their own terms.
13. Availability
13.1 Remindu will use reasonable efforts to operate and maintain the Platform.
13.2 However, uninterrupted availability is not guaranteed.
13.3 The Platform may be unavailable because of: maintenance; upgrades; security incidents; infrastructure failure; telecommunications failure; cyberattacks; third-party failures; force majeure; regulatory requirements; technical limitations; or circumstances beyond Remindu's reasonable control.
13.4 Nothing in this clause excludes rights or remedies that cannot legally be excluded.
14. Beta, Experimental and Free Services
14.1 Some Services may be identified as beta, experimental, preview, trial or free services.
14.2 Such Services may contain defects, limitations or functionality that differs from production services.
14.3 Unless otherwise required by law, beta, experimental and free Services are provided without any guarantee of continued availability.
14.4 Remindu may modify or discontinue beta, experimental and free Services without liability for losses resulting solely from such modification or discontinuation.
15. Subscriptions and Payments
15.1 Certain Services may require payment.
15.2 Prices, billing intervals, usage limits and subscription features will be displayed at the point of purchase or in the applicable order.
15.3 Subscription fees must be paid using an accepted payment method.
15.4 Where subscriptions automatically renew, the applicable renewal terms and updated prices will be presented before purchase.
15.5 Remindu may suspend paid Services where payment is overdue, without prior notice.
15.6 Prices may change prospectively with or without prior notice where required.
16. Refunds and Consumer Rights
16.1 Nothing in these Terms removes or limits statutory consumer rights.
16.2 Where you are a consumer, applicable consumer legislation may provide rights concerning digital content, digital services, cancellation, refunds, quality and conformity.
16.3 Nothing in these Terms is intended to exclude rights that cannot legally be excluded.
17. Intellectual Property
17.1 The Platform, including its software, source code, architecture, databases, interfaces, branding, logos, designs, documentation, algorithms, models, workflows and underlying technology, is owned by or licensed to Remindu.
17.2 Except where expressly permitted, you may not: copy the Platform; reproduce its source code; redistribute the Services; sell access; sublicense the Services; create unauthorised derivative works; remove proprietary notices; reverse engineer protected technology; or exploit the Platform commercially outside the permitted licence.
17.3 Nothing in these Terms transfers ownership of Remindu's intellectual property to you.
18. User Feedback
18.1 If you voluntarily provide suggestions, ideas, bug reports or other feedback concerning the Platform, you grant Remindu a worldwide, perpetual, irrevocable, royalty-free licence to use, reproduce, modify and incorporate that feedback without compensation or attribution.
18.2 Feedback must not contain confidential information belonging to third parties.
19. AI Output and Intellectual Property
19.1 To the extent legally permissible, Remindu does not claim ownership of Output generated specifically for you solely because it was generated through the Services.
19.2 AI-generated Output may not qualify for intellectual-property protection in every jurisdiction.
19.3 You are responsible for determining whether your intended use of Output infringes any third-party rights.
19.4 Remindu does not guarantee that Output is original or free from similarity to other material.
20. Security
20.1 Remindu will implement reasonable technical and organisational measures appropriate to the nature of the Services.
20.2 However, no internet-connected service can be guaranteed to be completely secure.
20.3 You acknowledge that transmission and storage of information over the internet involves inherent risks.
20.4 You must use appropriate security measures on your own devices and accounts.
21. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an "as available" and "as is" basis, except for warranties, conditions and rights that cannot lawfully be excluded.
Remindu does not warrant that:
- the Services will be uninterrupted;
- the Platform will be error-free;
- AI Output will be accurate;
- the Services will meet every individual requirement;
- the Platform will operate with every device or software;
- third-party integrations will remain available;
- defects will always be corrected;
- the Services will be completely secure; or
- the Services will produce a particular commercial, financial, accessibility or other result.
22. Limitation of Liability
22.1 Nothing in these Terms excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.
22.2 Subject to clause 22.1, Remindu shall not be liable for: indirect loss; consequential loss; loss of profit; loss of revenue; loss of business; loss of anticipated savings; loss of opportunity; loss of goodwill; loss of reputation; loss of contracts; loss of data, except where applicable law provides otherwise; business interruption; or losses arising from reliance on AI Output.
22.3 Subject to applicable law, Remindu shall not be responsible for losses arising from: inaccurate User Content; unlawful User Content; user misuse; unauthorised use of the account caused by the user's failure to protect credentials; third-party services; third-party websites; unsupported devices; unsupported software; internet failures; telecommunications failures; force majeure events; user decisions based on AI Output; or use of the Services contrary to these Terms.
22.4 Nothing in these Terms limits or excludes liability for matters that cannot legally be limited or excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability which applicable law prohibits Remindu from limiting or excluding.
22.5 Where you are a business customer, the liability provisions may be replaced or supplemented by a separately negotiated commercial agreement.
23. No Liability for User Decisions
23.1 You are solely responsible for decisions made using information obtained through the Platform.
23.2 Remindu does not assume responsibility for consequences resulting from a user's interpretation, implementation or reliance upon AI Output.
23.3 You must obtain appropriate human or professional review where the consequences of an error could be material.
24. User Indemnity
24.1 To the maximum extent permitted by law, you agree to indemnify and hold harmless Remindu, its owners, directors, officers, employees, contractors, licensors and service providers against third-party claims, losses, liabilities, costs and reasonable expenses arising from: (a) your breach of these Terms; (b) your unlawful use of the Services; (c) your User Content; (d) your infringement of third-party intellectual-property rights; (e) your violation of privacy or data-protection rights; (f) your violation of applicable law; (g) your misuse of AI Output; or (h) your use of the Services in a manner expressly prohibited by these Terms.
24.2 Remindu will provide reasonable notice of an indemnified claim where legally and practically possible.
24.3 Remindu may participate in the defence of such claim.
25. Remindu Owners, Directors and Personnel
25.1 To the maximum extent permitted by law, claims relating to the Services shall be brought against Remindu rather than against individual shareholders, directors, officers, employees, contractors or representatives.
25.2 Nothing in these Terms creates a personal contractual obligation on any individual owner, shareholder, director, employee or contractor.
25.3 To the extent legally permissible, you agree not to pursue personal claims against individual officers, directors, employees or contractors for acts performed on behalf of Remindu.
25.4 Nothing in this clause excludes liability that cannot legally be excluded.
26. No Personal Guarantee
26.1 No shareholder, founder, director, employee, consultant or contractor personally guarantees the performance of the Platform unless a separate written agreement expressly states otherwise.
26.2 Your contractual relationship is with Remindu.
27. Suspension and Termination
27.1 Remindu may suspend or terminate access where reasonably necessary to: protect the Platform; prevent fraud or abuse; comply with law; investigate security incidents; prevent harm; address material breaches; address non-payment; protect third parties; or prevent misuse of the Services.
27.2 Where appropriate, Remindu may provide notice and an opportunity to remedy the breach.
27.3 Remindu may immediately suspend access where continued access creates a material security, legal or operational risk.
27.4 You may stop using the Services at any time.
27.5 Termination does not automatically extinguish provisions which are intended to survive termination.
28. Effect of Termination
Upon termination:
- your right to use the Services ends;
- outstanding payment obligations remain due;
- intellectual-property provisions continue;
- confidentiality obligations continue where applicable;
- indemnity provisions continue where applicable;
- limitation-of-liability provisions continue; and
- other provisions intended by their nature to survive termination remain effective.
29. Data Deletion
29.1 Following termination, User Content may be deleted in accordance with Remindu's retention policies, Privacy Policy, applicable law and any applicable DPA.
29.2 Remindu may retain information where necessary for: legal compliance; fraud prevention; security; dispute resolution; accounting; regulatory requirements; or establishment, exercise or defence of legal claims.
30. Confidentiality
30.1 Each party shall take reasonable steps to protect confidential information received from the other party.
30.2 Confidentiality obligations do not apply to information that: is publicly available without breach; was already lawfully known; is independently developed; is lawfully received from another source; or must be disclosed by law or competent authority.
31. Copyright and Infringement Claims
31.1 If you believe material on the Platform infringes your copyright or other intellectual-property rights, you should contact Remindu with sufficient information to investigate the claim.
31.2 Remindu may remove or restrict access to material where reasonably necessary.
32. Third-Party Links
32.1 The Platform may contain links to third-party websites.
32.2 Third-party websites are independent from Remindu.
32.3 Remindu is not responsible for third-party websites, their content, availability, security, privacy practices or terms.
33. Force Majeure
Remindu shall not be liable for failure or delay caused by circumstances outside its reasonable control, including: natural disasters; war; terrorism; civil unrest; governmental action; sanctions; telecommunications failure; internet infrastructure failure; power failure; cloud-provider failure; cyberattacks; epidemics or pandemics; labour disputes; supply-chain disruption; or failures of Third-Party Services.
This clause does not excuse obligations that cannot legally be excused.
34. Changes to the Platform
34.1 Remindu may update, modify or improve the Platform without any notice to users.
34.2 Features may be added, removed, replaced or changed.
34.3 Where legally required, users will receive appropriate notice of material changes affecting their contractual rights.
35. Commercial and Business Use
35.1 Businesses using the Platform for commercial purposes are responsible for ensuring that their use complies with applicable law and industry-specific requirements.
35.2 Businesses should conduct their own risk assessment before integrating AI Output into operational or automated decision-making systems.
35.3 The Platform does not guarantee that the Services satisfy sector-specific regulatory requirements unless expressly agreed in writing.
36. API and Automation
Where API access is provided:
- API credentials must be kept confidential.
- You must comply with applicable usage limits.
- You must not abuse, overload or circumvent API restrictions.
- Remindu may impose rate limits, quotas or technical restrictions.
- API access may be suspended where necessary to protect the Platform.
37. Prohibited High-Risk Use
Unless expressly authorised in writing, you must not use the Services as the sole basis for:
- medical diagnosis or treatment;
- emergency response;
- critical infrastructure control;
- weapons systems;
- aviation or transportation safety;
- employment decisions;
- credit decisions;
- insurance decisions;
- legal determinations;
- law-enforcement decisions;
- immigration decisions;
- housing decisions; or
- other high-impact decisions concerning individuals.
38. No Professional Relationship
Use of the Platform does not create:
- a solicitor-client relationship;
- doctor-patient relationship;
- accountant-client relationship;
- financial-adviser relationship;
- fiduciary relationship; or
- other professional relationship,
unless expressly established by a separate written agreement with an appropriately qualified professional.
39. Export and Sanctions Compliance
You must comply with applicable export-control, sanctions and international trade laws when using the Services. You must not use the Platform in violation of applicable sanctions or export restrictions.
40. Governing Law
These Terms shall be governed by the laws of England and Wales, except where mandatory consumer-protection legislation requires otherwise.
41. Jurisdiction
Subject to any mandatory rights available to consumers, the courts of England and Wales shall have jurisdiction over disputes arising from or relating to these Terms. Where you are a consumer resident in another jurisdiction, you may have mandatory rights to bring proceedings in your local courts.
42. Dispute Resolution
42.1 Users should first contact Remindu and attempt to resolve disputes informally.
42.2 Nothing in this clause prevents a party from seeking urgent court relief where necessary to protect intellectual property, confidential information, security or other legitimate interests.
42.3 Nothing in these Terms prevents consumers from exercising statutory rights.
43. Severability
If any provision of these Terms is held to be unlawful, invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it lawful and enforceable. If modification is not possible, the provision shall be severed and the remaining Terms shall continue in force.
44. No Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of Remindu's right to enforce that provision later.
45. Assignment
45.1 You may not transfer your rights or obligations under these Terms without Remindu's prior written consent, except where permitted by applicable law.
45.2 Remindu may assign or transfer these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets or transfer of the relevant business, subject to applicable law.
46. Entire Agreement
These Terms, together with the Privacy Policy, applicable subscription terms, DPA and any other documents expressly incorporated by reference, constitute the agreement between you and Remindu concerning the Services.
47. Order of Precedence
If there is a conflict between these Terms and a separately executed written agreement, the separately executed agreement shall prevail to the extent of the conflict.
48. No Partnership or Agency
Nothing in these Terms creates a partnership, joint venture, employment relationship, franchise, agency or fiduciary relationship between you and Remindu.
49. Privacy Policy
Your use of the Services is also subject to Remindu's Privacy Policy. The Privacy Policy explains, among other matters: what personal data is collected; why it is collected; how it is used; data retention; international transfers; AI processing; third-party processors; user rights; and how users can contact Remindu.
50. No Guarantee of Business Results
Remindu makes no representation or guarantee that use of the Services will result in: increased revenue; reduced costs; increased productivity; improved accessibility; increased customer numbers; improved conversion rates; business growth; investment returns; or any particular commercial result.
51. Backups and Data Loss
You are responsible for maintaining appropriate copies of important information. Unless expressly agreed otherwise in writing, the Services should not be treated as your sole backup or archival system. Subject to applicable law, Remindu shall not be responsible for losses caused by your failure to maintain appropriate backups.
52. Security and Abuse Investigations
Remindu may investigate suspected misuse, security incidents, fraud or violations of these Terms. Where reasonably necessary, Remindu may: suspend accounts; restrict functionality; block automated requests; investigate usage patterns; preserve relevant evidence; and cooperate with law-enforcement or regulatory authorities where legally required.
53. Reservation of Rights
All rights not expressly granted to you under these Terms are reserved by Remindu and its licensors.
